Terms & Conditions

1. About these terms

1.1. These Terms and Conditions (“Terms”) govern your use of the Slack Web Chat service (“Service”), operated by Paul Willard (“we”, “us”, “our”).

1.2. By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1.3. We reserve the right to update these Terms at any time. The current version on our website supersedes all prior versions. Continued use of the Service after changes constitutes acceptance.

2. The Service

2.1. Slack Web Chat provides an embeddable live chat widget that relays messages between website visitors and a customer’s Slack workspace via the official Slack API.

2.2. The Service requires you to provide your own Slack bot token, signing secret, and channel ID. You are responsible for ensuring your Slack App is configured correctly and that you have authority to connect it.

2.3. The Service is provided on an “as is” and “as available” basis. We do not guarantee uninterrupted or error-free operation.

3. Accounts

3.1. You must provide a valid email address to create an account. You are responsible for maintaining the confidentiality of your account credentials.

3.2. You must not share your account with others or allow unauthorised access. You are responsible for all activity under your account.

3.3. We reserve the right to suspend or terminate accounts that violate these Terms, at our sole discretion.

4. Pricing and payment

4.1. The Service may be offered under free or paid plans. Plan details and pricing are published on our website and may change from time to time.

4.2. All prices are in New Zealand Dollars (NZD) and are inclusive of GST where applicable.

4.3. Paid subscriptions are billed in advance via Stripe. The monthly plan is billed monthly. The annual plan is a 12-month commitment billed monthly at the discounted monthly annual-plan rate, not one annual lump-sum payment. By subscribing, you authorise us to charge your payment method on a recurring basis until you cancel.

4.4. You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No refunds are issued for partial periods.

4.5. We reserve the right to change pricing with 30 days’ written notice. If you do not agree to a price change, you may cancel before it takes effect.

5. Acceptable use

You agree not to use the Service to:

  • Violate any applicable law or regulation
  • Send spam, unsolicited messages, or deceptive content
  • Transmit malware, viruses, or harmful code
  • Attempt to gain unauthorised access to our systems or other users’ accounts
  • Interfere with the operation or performance of the Service
  • Collect personal information from website visitors without appropriate consent or disclosure
  • Use the Service for any purpose that is illegal, abusive, or harmful

6. Your data and responsibilities

6.1. You retain ownership of all content and data you submit to the Service, including chat messages, Slack credentials, and widget configuration.

6.2. You are responsible for obtaining any necessary consent from your website visitors before collecting their personal information through the chat widget (e.g. via a pre-chat form).

6.3. You are responsible for complying with all applicable privacy laws in your jurisdiction, including displaying a privacy policy on your website that discloses the use of live chat and any data collection.

6.4. We process visitor data on your behalf as described in our Privacy Policy.

7. Intellectual property

7.1. The Service, including the widget code, dashboard, documentation, and branding, is owned by us and protected by copyright and other intellectual property laws.

7.2. We grant you a limited, non-exclusive, non-transferable licence to use the Service for your internal business purposes, subject to these Terms.

7.3. You may not copy, modify, distribute, reverse-engineer, or create derivative works of the Service without our prior written consent.

8. Limitation of liability

8.1. To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.

8.2. Our total liability for any claim arising from the Service shall not exceed the amount you paid us in the 12 months preceding the claim, or NZD $100, whichever is greater.

8.3. We are not liable for any loss of data, loss of business, or damages arising from service interruptions, security breaches beyond our reasonable control, or your failure to maintain adequate backups.

8.4. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under New Zealand law, including the Consumer Guarantees Act 1993 where applicable.

9. Indemnity

You agree to indemnify and hold us harmless from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your breach of these Terms, or your violation of any third party’s rights.

10. Third-party services

10.1. The Service integrates with Slack and may use Stripe for payment processing. Your use of these services is subject to their respective terms and conditions.

10.2. We are not responsible for the availability, accuracy, or policies of any third-party services.

11. Termination

11.1. You may close your account at any time by contacting us.

11.2. We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice.

11.3. Upon termination, your right to use the Service ceases immediately. We may delete your data after a reasonable period following account closure.

12. Governing law

12.1. These Terms are governed by and construed in accordance with the laws of New Zealand.

12.2. Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of New Zealand.

13. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
